Terms
The care plan agreement, in plain English. Last updated 23 August 2026. Have this checked before first use.
Who this is between. Kimble Digital Ltd (“we”, “us”) and the client named on the order form (“you”).
What you get. The plan you have chosen, whether Essential, Active or Managed, and everything listed on the plan sheet for it. That sheet forms part of this agreement.
Who this is with. Kimble Digital Ltd, registered in England and Wales, company number 17272636, registered office Westhill House 2b Devonshire Road, Accounting Freedom, Bexleyheath, England, DA6 8DS.
How long it lasts. Twelve months from the date you sign. Shorter terms are available and are priced higher. Twelve months is what earns the published price.
What it costs. The monthly price on your order form, plus VAT, paid by direct debit. Twelve payments. The first goes out within seven days of signing. The price does not move during the term.
What happens at the end. It renews for another twelve months automatically, unless either of us gives thirty days’ written notice. If our price for your plan has changed, we will tell you at least thirty days before renewal, and you can leave rather than accept it.
Changing plans. You can move up a plan at any time, from your next payment. You can move down at renewal, with thirty days’ notice.
Hours. Essential includes no time at all. It keeps the site running, and anything that changes the site is Active or billed at £75 an hour. On Active and Managed, included hours are monthly; unused hours roll forward one month and then lapse. If a job needs more than the plan holds, we will tell you what it costs before we start it.
Properties covered. Your plan covers one property, named on your order form. A property is anything with its own domain or its own login that we keep alive: a website, a knowledge base, a job board, a hosted platform or a satellite site in another language. Additional properties go on your order form at one of two rates, depending on what that property gets. £75 a month keeps it alive: hosting, SSL, backups, monitoring, and the forms checked. Nothing on it changes. £250 a month keeps it alive and works on it: all of the above, plus page fixes and improvements, Search Console watched for what it could be ranking for, and pages added where the numbers say there is something worth having. Neither rate is content marketing, and neither includes blogs or newsletters. Response times, backups and monitoring apply to every property you pay for.
Response times. Site down: we start work within four working hours. Anything else: within one working day. Working hours are 9am to 5.30pm, Monday to Friday, excluding English bank holidays.
Additional time. Work beyond your plan is £75 an hour, quoted and agreed before it starts.
Projects and sprints. Each piece of work has its own scope and fee, agreed before it starts. Sprints run for three months and then end, or continue on a care plan. Neither carries the twelve-month term that care plans do.
What the plan fee does not cover. Building or rebuilding the site, which is quoted and agreed as its own piece of work, whether it happens before the plan starts or during it. Advertising spend. Third-party licences bought in your name. Work caused by changes made by you or another supplier. We will still fix it, and we will tell you the cost first.
The monthly hour on Managed. Managed includes a standing one-to-one hour each month with your fractional CMO. It is booked in advance, it is not deducted from your included days, and it does not roll forward if you do not take it.
Advertising spend on Managed. Billed separately at cost, no mark-up. You see the invoices.
Who owns what. You own your domain, your content, your site and your accounts. You always did. We hold administrative access so we can do the work, and we will give you every credential we hold within fourteen days of you asking.
If you leave. We send a full backup and all credentials within fourteen days of the agreement ending. No exit fee, no charge for the handover.
If a payment fails. We will tell you and give you seven days. If a payment is more than thirty days late we may pause the work until it is paid, and we will always warn you first.
Ending it early. Either of us can end this immediately if the other breaks the agreement seriously and does not fix it within thirty days of being told in writing. Fees already paid for the current term are not refundable, and we will still send the backup and the credentials.
Data. We each follow UK data protection law. We only handle your data to run the plan.
Limits. We are not liable for losses beyond the fees you have paid us in the previous twelve months. Nothing here limits liability for death, personal injury or fraud, because it cannot.
